1. General Terms of Sale

1.1 Limitation of Liability: No claim by the purchaser or end-user (whether as to goods delivered or from non-delivery) shall be greater than the purchase price of the goods in respect of which such claim is made.

1.2 Consequential Damages: Componance shall, under no circumstances, be held liable for incidental or consequential damages, including but not limited to project delays, labor costs, or structural failure as a result of incorrect installation, improper loads, or the addition of third-party products.

1.3 Intellectual Property: All designs, drawings, and branding remain the exclusive property of Componance Design Inc. and may not be reproduced, imitated, or used for commercial gain without written consent.

1.4 Governing Law: This agreement is governed by the laws of the Province of British Columbia, Canada. Any legal proceedings shall be conducted exclusively in the courts of Vancouver, BC.

1.5 California Proposition 65 Warning: CALIFORNIA WARNING: Steel products can expose you to chemicals including Nickel and Chromium, which are known to the State of California to cause cancer and birth defects or other reproductive harm. (www.P65Warnings.ca.gov).

1.6 Lead-Time & Force Majeure: All lead times are estimates. Componance is not liable for failures in performance or delays resulting from natural disasters, acts of God, unrest, customs hold-ups, or events beyond our control.

1.7 Shortages & Missing Components Componance employs a rigorous multi-point inspection and weight-verification protocol for every order to ensure 100% accuracy in fulfillment. * Reporting Window: Any claims for missing components or shortages must be reported to Componance in writing within five (5) business days of delivery.

  • Verification: Upon receipt of a claim, Componance will review the internal packing logs and recorded shipment weight. If the recorded weight confirms a complete shipment, any replacement parts provided are at the sole discretion of Componance.
  • Replacement Costs: Should Componance agree to provide replacement parts, the cost of the components, applicable tariffs, and shipping fees may be charged to the purchaser. Expedited or overnight shipping for replacement parts is available only at the purchaser’s additional expense. Componance will report its findings, determination and confirm action prior to shipping replacement parts.
  • Replacement Parts: Please use the downloadable part chart to accurately describe the part or parts missing as well as the quantity.

1.8 US Tariffs: All orders shipped to the United States are subject to Tariffs. Orders are shipped DDP (Deliver Duty Paid) and the tariffs paid, by Componance, according to the product HS code classification. Tariff fees are deducted from the original price paid and are strictly non-refundable.

1.9 Order Cancellation: Orders cannot be cancelled once the items have been shipped or have undergone custom modification.

  • 2. Return Conditions

    2.1 Return Period: Product may be returned at the discretion of Componance for a period of 30 days from the date of delivery displayed on the carrier’s documentation.

    2.2 Condition of Goods: Product returns must be agreed upon prior to the items being sent back and must be received in their original and re-sellable condition.

    2.3 Restocking Fee: All returns are subject to a 20% restocking fee, calculated on the actual product cost.

    2.4 Non-Refundable Costs: Original shipping costs, brokerage fees, and customs tariffs/duties are strictly non-refundable.

    2.5 Custom Orders: Any products involving custom finishes, modifications, or bespoke designs are Final Sale. The client assumes all liability for the specifications and waives the right to returns or refunds.

    3. Shipping & Logistics

    3.1 Risk of Loss: Shipments from Componance do not require a signature upon delivery. A signature option is available for an additional fee if requested prior to shipping.

    3.2 US Customs (2026): All US orders are subject to mandatory customs entry and non-refundable duties. The previous $800 de minimis threshold has been suspended as of 2026; all shipments regardless of value are subject to 10-digit HTS classification and full duty payment.

    3.3 Undeliverable Shipments: If a shipment is returned or rejected due to an incorrect address, recipient unavailability, or refusal to pay duties, a $35 USD administrative fee plus all additional freight and tariff charges will apply for reshipment. If cancelled, these fees will be deducted from the final refund.

    4 Returns Procedures & Refunds

    4.1 Product Return: Product may be returned at the discretion of Componance for a refund for a period of 30 days from the confirmed delivery date determined by the carrier’s delivery confirmation.

    4.2 Return Authorization & procedure: All returns require prior written approval from Componance. Unapproved returns may be refused or rejected. Approved returns must follow the provided return instructions or QR-code return process. Returned items must be unused, complete, and in resalable condition. Damaged, incomplete, modified, or partial returns are non-refundable. The purchaser is responsible for all return shipping, duties, taxes, brokerage, and related fees (if any). We reserve the right to refuse any return that does not comply with this policy. Componance is not liable for damages or loss incurred during the return transit. Product photos should be taken prior to return shipment.

    4.3 Carrier & Liability: The returnee may use the carrier of their choice but assumes all responsibility for ensuring items are received by Componance in their original condition. Componance accepts no liability for returned items damaged or lost in transit.

    4.4 Legal Responsibility for Documentation: The returnee acts as the legal declarant for the return shipment. Componance is not responsible for filling out customs documentation on behalf of the returnee. Any fees, penalties, or "Return-to-Sender" charges incurred due to incorrect or incomplete customs filings are the sole responsibility of the returnee and will be deducted from any final refund.

    4.5 Provision of Return Data: Upon approval of a return, Componance will provide the returnee with a "Return Data Sheet" containing the accurate unbundled product values, HS codes, and mandatory certification statements required for the specific shipment based on the original commercial invoice. The returnee is responsible for accurately transferring this data to their shipping forms.

    4.6 Mandatory Declaration Requirements: For all returns from the US to Canada, the returnee must ensure the following data is included to comply with Tariff Item 9814.(00.00):

    • Purpose of Shipment: "Canadian Goods Returned – No Change in Condition".
    • Canadian HS Code: 8302.41.90.90.
    • HS Code Description: Finished architectural hardware - Stainless steel handrail brackets of base or non-precious metals used for fixturing in the built environment.
    • Valuation: The original unbundled product price provided by Componance (matching the original export value).
    • Required Statement: "Returned merchandise - No change. The goods mentioned on this invoice were exported from Canada during the month of [Month] in the year [Year], and no refund, drawback or exemption of customs duties and/or taxes has been granted or will be claimed.".

    By approving a return request, the purchaser acknowledges and agrees that:

    • Original shipping fees, duties, tariffs, taxes, and brokerage charges are non-refundable
    • The purchaser is responsible for all return shipping costs
    • The purchaser is responsible for all or any import fees incurred when goods re-enter Canada
    • Return import fees (if any) must be paid or secured prior to shipment
    • Componance may refuse or reject a return if the return costs exceed the refundable value of the goods
    • The returnee is responsible for the legal accuracy of all shipping & customs paperwork.
    • Componance is not responsible for any damage loss incurred during the return shipment.

    Returns received without approval or not in compliance with return instructions may be refused or returned at the purchaser’s expense.

    Before Shipping

    • Obtain written Return Authorization (RA) from Componance
    • Ensure the product is unused, complete, and in resale condition
    • Photograph the items, prior to shipping in their undamaged condition
    • Package items securely to prevent damage during transit. Do not rely on the original packaging. Items must not be able to move freely within the package.

    Incorrect, incomplete, or inaccurate customs declarations may result in:

    • Customs delays
    • Additional fees
    • Deduction of fees from any refund
    • Refusal of the return

    After Receipt (by Componance)

    • Returned goods will be inspected upon receipt
    • Refunds (if applicable) will be processed only after inspection
    • Damaged, incomplete, or unsellable items are non-refundable

    4.7 Refunds: Approved refunds are processed only after returned goods are received and inspected. Refunds are subject to a 20% restocking and transaction fee. All return-related costs are deducted from any refund. If your order qualified for free shipping, the equivalent shipping cost (that which was free) will be deducted from any eligible refund. Refunds or partial refunds are not rewarded on product that is received back in damaged, partial or unsellable condition. Componance is not liable for damage during the return shipment. Original shipping fees, duties, tariffs, taxes, and brokerage fees are non-refundable. Componance reserves the right to reject a return if fees are levied against the shipment and are greater than the potential refund.

    Refunds are issued through the original transaction software and provider unless otherwise requested and is subject to approval. Refunds issued through 3rd party software typically takes 1-5 business days to receive.

    5. Product Warranty

    5.1 Warranty Period: Componance warranties all stock items against defects resulting from the original workmanship for a period of one (1) year from the date of delivery.

    5.2 Visual Defects: Componance must be made aware of any visual defects within 10 business days of receiving the items and prior to installation.

    5.3 Acceptance via Installation: Componance cannot be held liable for costs or damages as a result of damaged product being installed without being reported. Installation constitutes final and unconditional acceptance of the product’s visual and physical condition.

    5.4 Licensed Installation Requirement: This warranty is valid only if products are installed by a licensed professional contractor in accordance with local building codes and Componance data sheets.

    5.5 Structural Integrity & Loads: Componance cannot be held liable for loads placed on products that exceed their structural integrity.

    5.6 Remedy: Componance reserves the right to replace any item determined to be defective with the same product (or part thereof) or to refund the cost of the original item.

    5.7 Finish Variations: Minor variations in color, texture, and finish are inherent to the manufacturing of architectural metals and are not considered defects. Exact matches to previous batches or samples are not guaranteed.

    6. Policy Agreement

    By placing an order, the purchaser confirms that they have read, understood, and agreed to this policy, including responsibility for all duties, tariffs, taxes, and import fees.

    By using the Componance website, downloading any literature, art work, files or designs, completing a sale through our B2B platform or online invoice, you are acknowledging that you have read our terms of service, policies, warranties and procedures and agree to be bound by said policies and procedures.
